1. Introduction & Scope

These Terms of Use (“Terms” or “Agreement”) govern your access to and use of the MatchMyDentist platform, services, and website, operated by MatchMyDentist Inc., a Florida limited liability company (“MatchMyDentist,” “Company,” “we,” “us,” or “our”).

MatchMyDentist is a proprietary, AI-enabled technology platform that facilitates introductions between prospective dental patients (“Patients”) and independently licensed dentists (“Providers”) based on compatibility, preferences, and expressed goals. MatchMyDentist is not a healthcare provider, does not provide dental care or advice, and does not participate in the clinical relationship between Patients and Providers.

The Services are provided at no cost to Patients. Participating Providers may pay a fixed technology and access fee after a mutual match is completed. This fee is not based on treatment value, patient volume, or any clinical outcome.

This Agreement applies to all individuals or entities who access or use the MatchMyDentist platform (the “Platform”), including Patients, Providers, or any person acting on behalf of another. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

These Terms incorporate by reference the following supplemental policies (collectively, the “Supplemental Policies”):

The Services are intended for individual, personal use. You may not use the Platform on behalf of another person or organization without express written authorization from MatchMyDentist.

2. Definitions

For purposes of these Terms, the following terms have the meanings below:

• “MatchMyDentist,” “Company,” “we,” “us,” or “our” refers to MatchMyDentist Inc., a Florida limited liability company that operates the Platform.

• “Platform” means the proprietary, AI-enabled digital technology developed and operated by MatchMyDentist, which facilitates introductions between Patients and Providers based on compatibility and stated preferences. The Platform is not a clinical service and does not participate in treatment decisions.

• “Services” refers to the features, tools, systems, and communications offered by MatchMyDentist through the Platform, including the intake form, matching algorithm, and related infrastructure.

• “User,” “you,” or “your” refers to any individual who accesses or uses the Platform, including Patients and Providers.

• “Patient” means any person seeking dental care who completes a Prospective Patient Profile on the Platform.

• “Provider” means a licensed dentist or dental practice participating in the MatchMyDentist network, eligible to be matched with Patients through the Platform.

• “Match” refers to a completed introduction between a Patient and a Provider through the Platform, based on mutual acceptance. A Match does not imply endorsement, referral, or medical advice.

• “Prospective Patient Profile” means the intake form completed by a Patient, including preferences, dental goals, insurance status, location, and other relevant information used solely to support matching.

• “Platform Access Fee” means the fixed fee paid by a Provider after a Match is completed. This fee is charged for access to the technology and administrative services of the Platform, not for referrals, patient volume, or treatment.

• “Content” includes any data, text, images, messages, or other materials submitted, uploaded, or transmitted by Users through the Platform.

• “Supplemental Policies” refers to any policies incorporated into these Terms by reference, including the Privacy Policy, Acceptable Use Policy, and Community Standards.

3. Description of Services

MatchMyDentist is a proprietary, AI-enabled platform designed to facilitate personalized introductions between individuals seeking dental care (“Patients”) and independently licensed dental providers (“Providers”) based on mutual compatibility and preferences.

3.1 Technology-Driven Matching

The process begins when a Patient completes a confidential Prospective Patient Profile. This profile collects information such as treatment goals, dental history, location, budget, insurance status, availability, and provider preferences. Our algorithm uses this data to identify a single compatible Provider from our closed network.

Patients do not browse Providers, and Providers do not pay for visibility, advertising, or placement in the match process.

3.2 Anonymized Review and Mutual Acceptance

Providers are shown anonymized Patient profiles. If a Provider chooses to accept a proposed match, they submit a personalized message for the Patient to review. Only after the Patient accepts the match is the Provider’s identity disclosed.

If both parties accept the match, the Patient’s contact information is released to the Provider. At that point, the match is considered complete and MatchMyDentist’s involvement ends.

3.3 No Clinical Role

MatchMyDentist does not provide dental services, clinical advice, or treatment recommendations. We are not a dental provider or referral agency and are not involved in appointment scheduling or medical decision-making. All clinical matters, including diagnosis, treatment, and communication, are managed independently between the Patient and Provider after a match is accepted.

3.4 Provider Fees (Patients Not Charged)

Use of the Platform is completely free for Patients. Providers may pay a fixed Platform Access Fee only after a match is completed and accepted by both parties. This fee is for access to the Platform’s technology and infrastructure and is not tied to treatment value, patient volume, or outcomes.

3.5 No Guarantee of Match or Outcome

While the Platform is designed to support successful introductions, MatchMyDentist cannot guarantee that:

• A match will be made

• A Patient or Provider will accept a proposed match

• An appointment will occur or be fulfilled

• Any treatment will take place or meet expectations

All interactions after the match occur independently of the Platform.

4. Eligibility & Account Use

4.1 Eligibility Requirements

You must be at least 18 years old to use the MatchMyDentist Platform. By using the Services, you represent and warrant that you meet this requirement. If you are under 18, you may only use the Platform with the active involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.

The Platform is available only to individuals located in the United States, and is intended solely for private-pay or privately insured Patients. You may not use the Platform if you are enrolled in Medicare, Medicaid, Tricare, CHAMPVA, or any other government-funded health program. MatchMyDentist does not knowingly collect or process information from government-insured Patients.

We reserve the right to restrict access to the Platform based on geographic location, insurance status, or regulatory limitations.

4.2 Account Registration

To access certain features of the Platform, you may be required to create a user account (“Account”). You agree to provide accurate, complete, and up-to-date information when registering, and to keep your account information current.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You agree not to share your credentials with others or allow unauthorized access. You must notify us immediately at support@matchmydentist.com if you believe your account has been compromised.

4.3 Personal Use Only

The Platform is intended for individual, personal use only. You may not use the Services on behalf of another person or organization without our express written permission. Commercial, group, or resale use is strictly prohibited unless otherwise authorized.

4.4 Suspension or Termination

We may suspend or terminate your access to the Platform at any time for any reason, including:

• Violation of these Terms

• Prolonged inactivity

• Use of false or misleading information

• Use of the Platform for unauthorized purposes

• Required compliance with law or regulation

Upon termination, your access to the Platform may be revoked and any stored information may be deleted in accordance with our data policies.

5. User Conduct & Responsibilities

By using the MatchMyDentist Platform, you agree to follow these expectations and responsibilities:

5.1 Provide Accurate Information

You agree to provide truthful, complete, and current information when completing your Prospective Patient Profile, registering an account, or otherwise interacting with the Services. You acknowledge that the quality and relevance of your match depends on the accuracy of the information you submit.

MatchMyDentist does not independently verify Patient data. You are solely responsible for any consequences that result from false, misleading, or incomplete information.

5.2 Lawful and Appropriate Use

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations. You may not:

• Impersonate any person or entity

• Misrepresent your identity, age, insurance status, or dental history

• Submit false or fraudulent information

• Interfere with or disrupt the Platform or its systems

• Attempt to gain unauthorized access to any account, system, or data

• Use the Platform to solicit, process, or serve government-insured patients

• Collect or store information about others without authorization

Violation of these rules may result in account suspension or legal action.

5.3 Use on Behalf of Minors

If you are a parent or legal guardian submitting a profile for a minor child, you represent that you have legal authority to act on the child’s behalf and accept responsibility for all submitted information and interactions that result.

5.4 Respectful Communication

You agree to engage respectfully and professionally in any communication with Providers. MatchMyDentist does not monitor or moderate message content, but reserves the right to revoke access for abusive, inappropriate, or harassing conduct.

5.5 No Commercial or Unauthorized Use

You may not resell, sublicense, or use the Platform for commercial gain without our written permission. Use of the Platform to coordinate or manage multiple patients (e.g., as a broker or agency) is prohibited unless explicitly authorized.

6. Provider Matching & Engagement

MatchMyDentist facilitates personalized, one-to-one introductions between Patients and Providers using a closed, compatibility-based matching process. The Platform does not offer a public directory or allow Patients to browse or choose Providers.

6.1 Patient Profile Submission

To initiate matching, Patients complete a Prospective Patient Profile that includes relevant information such as:

• Dental concerns and treatment goals

• Availability, urgency, and location preferences

• Budget and insurance status

• Provider characteristics or preferences

Patients are solely responsible for the completeness and accuracy of their submitted profile. MatchMyDentist does not verify or validate Patient-submitted data.

6.2 Algorithmic Match Generation

Using proprietary AI, the Platform evaluates profile compatibility and selects a single Provider based on factors such as treatment scope, logistics, philosophy, and Patient-stated preferences. Providers do not pay for visibility and are not ranked, prioritized, or promoted within the system.

6.3 Anonymized Profile Review

Providers receive an anonymized version of the Patient’s profile. If interested, the Provider may accept the match and must submit a personalized introductory message. While an AI-generated draft may be offered, the final message is the sole responsibility of the Provider. MatchMyDentist does not edit or endorse any message content.

6.4 Match Completion

If the Patient accepts the match, the Provider is granted access to the Patient’s contact details. At this point, the match is considered complete and all further communication and care occur outside the Platform.

6.5 No Guarantees

MatchMyDentist does not guarantee:

• That a match will be made

• That either party will accept the proposed match

• That an appointment or treatment will occur

All participation is voluntary, and either party may decline a match without penalty.

7. Communications & Notifications

MatchMyDentist communicates with Patients solely to support the match process. We do not send promotional messages, schedule appointments, or engage in clinical correspondence.

7.1 Email-Only Communication

By using the Platform, you agree to receive email communications necessary to facilitate your match, including:

• Notification of a proposed Provider match

• The Provider’s introductory message and credentials

• Confirmation of match completion

• Optional follow-up to confirm contact success

All communications are system-generated and transactional in nature.

7.2 No Phone or Text Communication

MatchMyDentist does not contact Patients by phone, SMS, or messaging apps. We will never request sensitive information via phone call or text.

7.3 Responsibility for Contact Details

You are responsible for keeping your email address current. We are not responsible for missed notifications due to spam filters, outdated email addresses, or blocked messages.

8. Provider Fees & Payment Terms

8.1 No Cost to Patients

The MatchMyDentist Platform is completely free for Patients. You will not be charged to submit a profile, receive a match, or view a Provider’s message.

8.2 Flat Access Fee for Providers

The Platform Access Fee is a fixed administrative fee charged for the processing of anonymized data and the use of the proprietary matching algorithm. This fee becomes due only upon the successful completion of a Mutual Match, representing the Fair Market Value of the technology services rendered. The fee is not a commission, is not based on the volume or value of any subsequent dental treatment, and is charged regardless of whether clinical care is ever provided.

MatchMyDentist does not sell leads, promote Providers based on payment, or receive any compensation related to dental services rendered.

8.3 No Refunds

Platform Access Fees paid by Providers are non-refundable, including in cases where:

• A Patient cancels or no-shows

• No treatment occurs or is declined

• Communication is unsuccessful post-match

As a Patient, you are never responsible for any portion of this fee.

9. No Clinical Role or Referral Relationship

MatchMyDentist is a technology service, not a dental provider or referral agency. We do not participate in the clinical aspects of your care.

9.1 No Dental Advice or Diagnosis

We do not provide:

• Clinical opinions or second opinions

• Treatment plans or recommendations

• Scheduling assistance or emergency support

All decisions about your care are made independently between you and your selected Provider.

9.2 No Endorsement or Recommendation

MatchMyDentist does not recommend or endorse any specific Provider, treatment, or service. Matches are generated using algorithmic compatibility only. A match does not imply quality assurance, prioritization, or suitability.

9.3 Provider Responsibility

Independent Provider Responsibility
Each Provider is solely responsible for their conduct, communications, treatment, and compliance with applicable laws and professional standards. MatchMyDentist assumes no responsibility for the acts, omissions, or services of any Provider listed on the Platform.

MatchMyDentist does not monitor, supervise, or participate in any care decisions and assumes no liability for outcomes of any Patient–Provider interaction.

9.4 No Duty to Monitor; Right to Remove

MatchMyDentist does not monitor Provider conduct or verify ongoing compliance. However, we reserve the right to suspend or remove a Provider from the Platform at any time in our sole discretion, including upon notice of licensing issues, criminal activity, or patient complaints.

9.5 No Appointment Management or Billing

MatchMyDentist does not schedule appointments, process payments, verify insurance, or coordinate treatment. Once a match is accepted by both parties, all further interaction occurs independently between the Patient and Provider outside of the Platform.

9.6 No Provider Browsing or Search Functionality

Patients do not browse, select, or view Providers prior to a match. Matches are generated through automated algorithmic evaluation based on compatibility and patient-stated preferences. The Platform does not offer provider ratings, rankings, reviews, or search functionality.

10. Privacy & Anonymity

MatchMyDentist is committed to protecting your identity and personal information throughout the match process.

10.1 Anonymous Profile Review

Before a match is accepted, Providers only receive anonymized Patient profiles. These may include:

• Dental goals, treatment concerns, and preferences

• Budget, insurance status, and availability

• General background and logistics

Your name and contact details are never disclosed until you accept the match.

10.2 Post-Match Contact

If you accept a proposed match, the selected Provider will receive your contact information. From that point forward, all communications and interactions occur directly between you and the Provider, outside of the MatchMyDentist Platform.

10.3 Use of Data

Information you submit is handled according to our [Privacy Policy]. We do not sell, share, or monetize your personal data. Your information is never used for advertising or third-party marketing. You may request access, correction, or deletion of your data by contacting us at support@matchmydentist.com.

11. Limitation of Liability

To the fullest extent permitted by law, MatchMyDentist disclaims all liability related to your use of the Platform, including any care or outcomes that may follow.

11.1 Platform Use at Your Own Risk

The Platform is provided “as is” and “as available.” We make no guarantees regarding:

• The success or accuracy of a match

• Provider availability, performance, or qualifications

• Appointment scheduling, cancellations, or outcomes

• Platform uptime, accuracy, or functionality

11.2 No Responsibility for Treatment

MatchMyDentist does not provide dental care or supervise Provider conduct. You agree that we are not responsible for:

• Diagnosis, treatment, or procedures

• Missed or canceled appointments

• Communications between you and any Provider

• Dissatisfaction or harm resulting from care

11.3 Limitation of Damages

To the maximum extent permitted by law, MatchMyDentist will not be liable for any indirect, incidental, consequential, or punitive damages — including lost time, revenue, or data.

Our total liability for any claim will not exceed two hundred U.S. dollars ($200), regardless of the nature or basis of the claim.

If your jurisdiction does not allow certain limitations, we disclaim liability to the maximum extent allowed.

12. Disclaimers & No Guarantees

12.1 No Medical or Dental Advice

All content and services offered through MatchMyDentist — including materials on the Platform, emails, or sample messages — are for informational and administrative purposes only.

We do not offer:

• Dental diagnosis or clinical assessments

• Emergency services or real-time care

• Treatment recommendations or scheduling assistance

You should consult a licensed dental provider directly for any care-related decisions. If you are experiencing a dental emergency, call 9-1-1 or seek immediate care.

12.2 No Guarantee of Match, Care, or Outcome

MatchMyDentist does not guarantee:

• That a match will be generated

• That either party will accept the match

• That communication will be successful

• That an appointment will occur or result in treatment

• That any treatment will meet your expectations

• That any Provider will meet your clinical, financial, or logistical needs

All outcomes are dependent on individual circumstances, provider availability, mutual participation, and the independent decisions of Patients and Providers.

12.3 No Background Checks or Endorsements

MatchMyDentist does not perform any credentialing, background checks, or disciplinary screening of Providers. This includes:

• No verification of licensure, certification, or malpractice history

• No investigation into criminal background, exclusion lists, or state board status

• No monitoring of ongoing license or legal status

We rely on self-reported information from Providers and public licensing databases. Inclusion on the Platform does not imply verification, endorsement, approval, or guarantee of any Provider’s qualifications, conduct, or legality.

You are solely responsible for evaluating a Provider’s fitness for your care. You should consult relevant state licensing boards or professional resources before accepting care.

13. Dispute Resolution & Arbitration

Please read this section carefully — it affects your legal rights.

13.1 Mandatory Individual Arbitration

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services will be resolved exclusively through binding individual arbitration, not in court. This includes disputes regarding:

• The Platform or any match

• Provider communications

• Data, privacy, or Terms violations

The arbitration will be conducted by JAMS in accordance with its rules, in the State of Florida. Judgment may be entered in any court with proper jurisdiction.

13.2 Class Action Waiver

You waive any right to participate in a class action, class arbitration, or representative proceeding. All claims must be brought individually.

13.3 Small Claims Exception

You or MatchMyDentist may bring an individual claim in small claims court if the claim qualifies under that court’s rules and remains on an individual basis.

13.4 One-Year Limitation

Any claim or dispute must be filed within one (1) year from the date the issue arises. Otherwise, it is permanently barred.

14. Termination

14.1 By You

You may stop using the Services at any time. To request deletion of your account and data, contact support@matchmydentist.com. Account deletion may be permanent and could result in the loss of match history or submitted profile data.

14.2 By MatchMyDentist

We reserve the right to suspend, deactivate, or permanently terminate your access to the Platform at any time and for any reason, including but not limited to:

• Violation of these Terms

• Prolonged account inactivity

• Use of false or misleading information

• Behavior that disrupts the Platform or other Users

• Required legal or regulatory changes

• Discontinuation of the Platform or Services

Upon termination, your access may be revoked immediately. We are not liable for any loss of access, data, or content after termination, subject to our data retention policies.

15. Governing Law & Jurisdiction

These Terms, and any dispute or claim arising out of or related to them, are governed by the laws of the State of Florida, without regard to its conflict of law principles.

If a dispute is not subject to arbitration under Section 13, you agree that the state and federal courts located in Palm Beach County, Florida, shall have exclusive jurisdiction.

16. Force Majeure

MatchMyDentist will not be liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control, including but not limited to:

• Acts of God or natural disasters

• War, civil unrest, or terrorism

• Labor disputes or supply chain failures

• Government regulations or shutdowns

• Cyberattacks, power failures, or internet outages

Any such event suspends our obligations for the duration of the disruption.

17. Notices

MatchMyDentist may send notices to you via:

• In-app messages or dashboard alerts

• Updates on our website

• Physical mail (if applicable)

18. Entire Agreement & Modifications

These Terms, together with our Privacy Policy and any Supplemental Policies referenced herein, constitute the entire agreement between you and MatchMyDentist concerning the Platform.

We may modify these Terms at any time. Material changes will be communicated by email, dashboard notice, or posted updates. Your continued use of the Platform after such updates constitutes your acceptance of the revised Terms.

19. Severability & Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remainder shall remain in full force and effect.

Our failure to enforce any part of these Terms does not waive our right to enforce it later.

20. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and MatchMyDentist.

You may not represent yourself as an agent or representative of the Company, and you may not bind MatchMyDentist in any way without express written authorization.
