Section 01

Introduction & Scope

1.1 Technology Platform

MatchMyDentist is a proprietary, AI-enabled matching platform that connects prospective patients (“Patients”) with participating independently licensed dentists (“Providers”) based on each Patient’s expressed needs, goals, and preferences. MatchMyDentist Inc. is a Delaware corporation with its principal place of business at 791 4th St N #300, St. Petersburg, FL 33702 (“MatchMyDentist,” “Company,” “we,” “us,” or “our”). MatchMyDentist is not a healthcare provider, does not provide clinical care, and does not participate in the provider–patient relationship. The Platform facilitates introductions based on compatibility; it does not make referrals or guarantee matches, appointments, treatment acceptance, or outcomes.

1.2 Closed and Non-Searchable Network

The Platform is a closed system. Providers are not listed in any public directory or searchable database. A Provider’s identity is revealed only after the Provider accepts a match and the Patient accepts in turn. Patient profiles are anonymized during the review phase.

1.3 No Referral, Fee-Splitting, or Pay-to-Promote Model

Participation is voluntary and not tied to treatment value or volume. Providers do not pay for advertising, referrals, increased visibility, or patient volume. Provider fees are fixed charges for access to technology and administrative services, independent of services rendered.

1.4 Independent Professional Judgment

Providers are solely responsible for all aspects of patient care, including diagnosis, treatment planning, consent, communication, and clinical outcomes. MatchMyDentist does not influence treatment decisions and is not responsible for any care provided.

1.5 Private-Pay Patients Only

The Platform is solely for matching Providers with private-pay or privately insured patients. MatchMyDentist does not knowingly accept, solicit, match, or process patients enrolled in Medicare, Medicaid, Tricare, CHAMPVA, or any other government-funded program. Patients self-attest to non-enrollment as a condition of participation, and a pre-screening step blocks ineligible patients. The Company does not independently verify insurance eligibility. Providers remain solely responsible for independently confirming patient eligibility and ensuring that no services provided pursuant to a match involve government-funded programs. Use of the Platform in violation of this section is a material breach.

1.6 Eligibility

You must be at least 18 years old to use the Services, which are intended for use by individuals located in the United States.

1.7 Agreement

This Network Participation & Provider Terms of Service (“Agreement”) governs participation in the Platform. By registering or using the Services, you agree to be bound. It incorporates the Privacy Policy, Consumer Health Data Privacy Policy, and the Business Associate Agreement (Section 5.5 / Schedule) by reference.

Section 02

No Medical Referral or Fee-Splitting Relationship

MatchMyDentist is not a referral service, dental provider, or agent of either Patients or Providers. We do not provide clinical advice or treatment recommendations, and do not prioritize Providers based on payment. Our Services are limited to technology, administrative facilitation, and access to the matching Platform.

Providers pay a fixed monthly subscription fee for geographic access to the Platform. This fee:

  • Is charged solely for access to the matching algorithm, communication infrastructure, and administrative systems within the Provider’s selected geographic coverage area;
  • Is not based on any treatment outcome, revenue, or volume of services;
  • Does not vary based on how many patients are matched, accept matches, or schedule appointments;
  • Is not contingent upon appointment attendance, treatment acceptance, or services rendered.

MatchMyDentist’s involvement ends when both parties accept the match.

Section 03

No Dental Advice; No Patient-Provider Relationship

MatchMyDentist is not a dental care provider and does not provide dental advice, clinical assessments, or treatment recommendations. All content is for informational and administrative purposes only and is not a substitute for professional care. We do not offer scheduling, diagnosis, treatment, or emergency assistance; for a dental emergency, call 9-1-1 or contact a licensed professional.

We do not refer, recommend, or endorse any specific Provider, procedure, or treatment. The matching process is algorithmically driven and neutral. No dentist-patient relationship is created by using the Platform; a clinical relationship forms only once a Patient and Provider independently engage outside the Platform. MatchMyDentist cannot guarantee the availability, suitability, or quality of any Provider, and disclaims liability for any aspect of the patient-provider relationship that follows a match.

Section 04

The Matching Process

4.1 Patient Profile Submission

Patients complete a confidential intake questionnaire (the “Prospective Patient Profile”) covering goals, preferences, history, availability, urgency, insurance status, budget, and related criteria. Patients are responsible for accuracy; the Company does not independently verify patient data.

4.2 Single-Match Assignment

Using a proprietary matching algorithm, the Platform evaluates compatibility based on practice focus and scope, care philosophy, logistics, and patient-stated preferences, and selects one Provider as the proposed match. Patients receive no list of options; Providers do not bid, compete, or pay for placement. The Platform does not represent that the selected Provider is the “best” or “recommended” Provider — only that the Provider meets the compatibility parameters.

4.3 Provider Review & Personalized Message

The Provider receives an anonymized profile (no name or contact information). To accept, the Provider must submit a personalized introductory message. An AI-generated draft may be offered; the final message is the Provider’s sole responsibility. MatchMyDentist does not author, edit, endorse, or approve Provider communications.

4.4 Patient Review & Acceptance

If the Provider accepts and submits a message, the Patient receives a notification with the Provider’s name, background, and message. No patient contact information has yet been shared.

4.5 Completion of Match

If the Patient accepts, the Provider is granted access to the Patient’s contact information. At that moment MatchMyDentist’s involvement ends. The Platform does not track, verify, or facilitate scheduling or appointment attendance. No additional per-match fee is charged at the moment of match completion; all fees are governed exclusively by the subscription terms in Addendum A.

4.6 Mutual Freedom to Decline

Both parties retain complete discretion. A Provider is under no obligation to accept any profile; a Patient is under no obligation to accept any match. Declining does not affect future eligibility.

4.7 Match Allocation

The number of profiles a Provider is offered over time may vary based on market capacity and on engagement quality — for example, the Provider’s responsiveness, acceptance behavior, and Patient-reported satisfaction. Allocation is never based on whether treatment occurs, the type or value of treatment, or any revenue generated. Allocation reflects platform operation and match quality, not compensation for patient volume.

4.8 No Guarantees

MatchMyDentist does not guarantee that a match will be generated, accepted, or lead to an appointment.

Section 05

Patient Profiles & Use of Patient Information

5.1 Anonymized Profiles

Providers may receive anonymized Prospective Patient Profiles. Patient names and contact information are withheld until the Patient accepts the match.

5.2 Provider Obligations on Review

You agree to review profiles in good faith and decide whether to proceed. If you accept, you must submit a personalized message; you are solely responsible for its content.

5.3 Post-Match Disclosure

If the Patient accepts, you receive the Patient’s name and contact information, and all further communication, treatment, or interaction occurs independently of MatchMyDentist.

5.4 Accuracy Disclaimer

MatchMyDentist does not verify the accuracy of patient-submitted information; you accept responsibility for any reliance on it.

5.5 Privacy & HIPAA / Business Associate

Certain information transmitted through the Platform in connection with a match may constitute Protected Health Information (“PHI”) under HIPAA. To the extent the Company creates, receives, maintains, or transmits PHI on behalf of a Provider that is a HIPAA covered entity, the Company acts as a Business Associate, and the Business Associate Agreement (incorporated into the credentialing packet) governs that handling. The Company maintains administrative, physical, and technical safeguards consistent with the HIPAA Security Rule and will not use PHI for marketing or referral generation. Providers remain solely responsible for their own HIPAA compliance with respect to patient information after disclosure of identity and contact details.

Section 06

Provider Conduct Representations

By participating, you represent and agree that you will engage with matched Patients ethically, lawfully, and in good faith; that you will not exploit a Patient’s lack of clinical knowledge or financial circumstances; and that if a Patient’s clinical needs differ from their stated expectations, you will communicate with transparency and professional integrity. MatchMyDentist does not require you to treat any Patient, does not dictate your clinical judgment or practice management, and does not police the manner of your practice; these are representations of professional conduct, not Company-directed performance obligations.

Section 07

Provider Eligibility & Credentialing

7.1 Minimum Requirements

To participate, you must: hold an active, unrestricted dental license in each state where you provide care; maintain current malpractice insurance meeting applicable standards; be in good standing with relevant authorities; not be excluded, debarred, or suspended from any federal or state healthcare program; and agree not to use the Platform to treat patients enrolled in government-funded programs.

7.2 Credentialing Submission

You agree to submit accurate, complete credentialing information: a valid dental license; proof of malpractice insurance; DEA certificate (if applicable); education and training background; and any relevant disciplinary or legal history. You represent and warrant that all information is truthful, complete, and current.

7.3 Company Verification (Onboarding)

Before approving participation, the Company collects the documentation and representations above and confirms that your dental license appears active through the applicable state dental board’s public license-verification system. The Company may reject or revoke participation if submitted information is false, incomplete, or outdated. The Company does not independently audit or guarantee malpractice or disciplinary history beyond the license confirmation described here.

7.4 Ongoing Obligations

You must notify us in writing within five (5) business days of: any change in your license, insurance, or DEA status; any disciplinary investigation, restriction, or sanction; any legal action related to your professional conduct; or any attempt to use the Platform for excluded government-program patients. The Company does not continuously monitor your regulatory compliance or clinical conduct between credentialing cycles.

7.5 Compliance & Conduct

You agree to deliver care in accordance with all applicable federal, state, and local laws, including HIPAA and non-discrimination laws, and to treat all matched Patients with respect and without unlawful discrimination.

7.6 State-of-Care & Telehealth Responsibility

You are solely responsible for holding the licenses and meeting all professional and regulatory requirements of the state in which the Patient is located and treated, including, if you elect to provide any care via telehealth, all applicable telehealth licensure, informed-consent, modality, and documentation requirements. MatchMyDentist does not provide telehealth and is not responsible for any virtual care you choose to deliver.

7.7 Audit, Re-Verification, Cooperation & Records

The Company may, at any time, request updated documentation and re-verify your license and standing. You agree to cooperate promptly and in good faith with the Company’s investigations of complaints, fraud, or platform misuse, and with any regulatory inquiry relating to your participation. You agree to retain your eligibility and credentialing documentation for the period required by applicable law.

7.8 Billing Integrity

The cost of participating in the network is your private business expense. You shall not disclose the subscription fee to patients in a manner implying the patient is paying for the introduction, shall not itemize it on any patient invoice or insurance claim, and shall not increase your standard fee schedule or impose surcharges on Patients matched through the Platform.

Section 08

Network Participation & Branding

8.1 Participation at Company Discretion

MatchMyDentist may deny, suspend, or revoke access at any time, with or without cause, including for violations, unprofessional conduct, incomplete credentialing, or conduct harming the integrity or reputation of the Platform.

8.2 Government Program Exclusion

You represent and warrant that you will not use the Platform to solicit, match, or provide services to patients enrolled in federal or state-funded programs. You agree to screen all matched Patients for government-insurance eligibility prior to clinical engagement and to notify us immediately if a matched Patient is discovered to be covered by such a program. Violation may result in immediate termination and legal action.

8.3 Use of Name, Branding & Media

You grant MatchMyDentist a non-exclusive, royalty-free license to use your name, logo, office information, and submitted media solely to create your provider profile and facilitate matching. You represent you have the rights to grant this license.

Section 09

Provider Responsibilities

9.1 Account Integrity

You are responsible for the accuracy and confidentiality of your account and all activity under it, and must notify us immediately of any unauthorized access.

9.2 Match Participation

You agree to use the Platform solely to evaluate and optionally accept individual matches based on your independent judgment. Each accepted match must be acknowledged with a message written or edited by you; you are solely responsible for its content and tone.

9.3 Good-Faith Engagement

Consistent with Section 6, you represent that you will consider a Patient’s stated needs respectfully and in good faith and will not mislead a Patient. This is a representation of professional conduct, not a Company-imposed clinical obligation.

9.4 Legal Compliance

You are solely responsible for maintaining your licensure, insurance, and legal eligibility to practice.

Section 10

Third-Party Links & Services

10.1 Third-Party Resources

The Services may link to third-party resources for convenience only; we do not endorse or control them and are not responsible for their content or practices.

10.2 No Affiliation

Unless stated, MatchMyDentist has no affiliation with third-party product vendors, insurers, or service platforms, and does not process insurance, payments, or third-party medical tools on your behalf.

10.3 Open-Source & Licensed Technologies

The Platform may rely on third-party or open-source technologies subject to their own license terms.

Section 11

Content & Intellectual Property

11.1 Ownership

All Platform content — including text, images, logos, data, software, algorithms, and interfaces — is owned by MatchMyDentist or its licensors and protected by law. You may not copy, modify, distribute, or create derivative works without written permission.

11.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access the Platform solely to view and respond to matches and maintain your profile. No resale, reverse-engineering, scraping, or commercial exploitation.

11.3 Provider Submissions

By submitting profile content, credentials, or messages, you grant MatchMyDentist a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that information solely to facilitate matches and operate the Platform. You represent you have the legal right to share it.

11.4 AI-Generated Content

AI-generated sample messages are optional tools, not reviewed or endorsed by MatchMyDentist; final responsibility for any message rests with you.

Section 12

Limitation of Liability

12.1 Use at Your Own Risk

The Platform is provided “as is” and “as available,” without warranties. We make no guarantees regarding uptime, match frequency, patient behavior, or business outcomes.

12.2 No Liability for Patient Conduct or Outcomes

We are not responsible for patient actions, communications, or false information, or for treatment outcomes, dissatisfaction, or missed appointments.

12.3 Limitation of Damages

To the fullest extent permitted by law, MatchMyDentist and its officers, directors, employees, contractors, and agents shall not be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of revenue, reputation, patients, or data.

12.4 Maximum Liability

Our total liability for any claim arising out of or relating to this Agreement shall not exceed the lesser of (a) one hundred dollars ($100) or (b) one month’s subscription fee paid by you — except that this cap does not apply to liability arising from our gross negligence or willful misconduct, or any liability that cannot be limited under applicable law.

12.5 Jurisdictional Exceptions

Where limitations are not permitted, liability is limited to the maximum extent allowed.

12.6 Marketing Use of Provider Feedback

You agree MatchMyDentist may use feedback or testimonials you provide for promotional or educational purposes. Unless you give explicit written consent to use your full name, attribution will be anonymized (e.g., “Cosmetic Dentist, Florida”). Such feedback will not be used to imply referral volume, clinical endorsement, or treatment outcomes.

Section 13

Indemnification

You agree to indemnify, defend, and hold harmless MatchMyDentist Inc. and its officers, directors, employees, contractors, affiliates, successors, and agents (the “MatchMyDentist Parties”) from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Services; (b) any misrepresentation, inaccuracy, or omission in information you provide, including credentials or communications; (c) any clinical treatment or interaction between you and any Patient; (d) any breach of this Agreement or violation of law, regulation, licensing requirement, or third-party right; (e) any dispute between you and a Patient; or (f) any content or messages you submit or customize, including AI-assisted messages. This obligation survives termination. It does not require you to indemnify the MatchMyDentist Parties for claims resulting from our own gross negligence or intentional misconduct.

Section 14

Dispute Resolution & Arbitration

14.1 Binding Individual Arbitration

You and MatchMyDentist agree to resolve disputes arising out of or relating to this Agreement or the Services exclusively through final and binding individual arbitration, governed by the Federal Arbitration Act.

14.2 Waiver of Jury Trial and Class Actions

You and MatchMyDentist waive any right to a jury trial and to participate in any class, collective, or representative action. Claims must be brought individually.

14.3 Pre-Arbitration Process

Before initiating arbitration, you agree to notify MatchMyDentist at legal@matchmydentist.com with a written description of the dispute, your contact information, and a proposed resolution. We will attempt to resolve it informally within 60 days.

14.4 Arbitration Procedures

Unresolved disputes will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in Palm Beach County, Florida, by a single arbitrator, in English.

14.5 Exceptions

This Section does not apply to claims regarding intellectual property or trade secrets, emergency injunctive relief, or claims not subject to arbitration by law.

14.6 Opt-Out

You may opt out by written notice to MatchMyDentist – Legal Department, 791 4th St N #300, St. Petersburg, FL 33702, postmarked within 30 days of first agreeing to these Terms, including your name, provider account, and a clear opt-out request.

14.7 Small Claims Exception

Either party may bring a qualifying individual claim in small claims court.

Section 15

Governing Law & Jurisdiction

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles; the Federal Arbitration Act governs arbitration. Subject to Section 14, any non-arbitrable action shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

Section 16

Miscellaneous

16.1 Entire Agreement

This Agreement, with the incorporated policies and the BAA, is the entire agreement regarding the Services and supersedes prior understandings.

16.2 Amendments / Continued Acceptance

We may modify this Agreement; material changes will be communicated by email, dashboard notice, or other reasonable means, and the current version will be available at https://matchmydentist.com/dentist-terms (or successor URL). Continued use of the Services, including accessing your provider dashboard, after an update constitutes acceptance of the modified Agreement.

16.3 Severability

Unenforceable provisions are construed to reflect original intent; the remainder stays in effect.

16.4 No Waiver

Failure to enforce any provision is not a waiver.

16.5 Assignment

You may not assign without our written consent; we may assign freely, including in a merger or sale of assets.

16.6 Survival

Provisions that by nature should survive (limitation of liability, indemnification, dispute resolution, billing integrity) survive termination.

16.7 Electronic Signatures

By registering, clicking “I Agree,” or otherwise accepting, you consent to contract electronically, and your electronic signature is the legal equivalent of a manual signature.

16.8 Relationship of the Parties — Independent Contractor

You are an independent contractor with respect to your participation in the Platform. Nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship between you and MatchMyDentist. You retain sole control over your practice, personnel, scheduling, pricing (subject only to §7.8), and clinical decisions. You may not represent yourself as an agent of, or bind, MatchMyDentist.

Addendum A

Platform Subscription & Billing Terms

A.1 Subscription Tiers & Monthly Fees

MatchMyDentist offers the following subscription plans for participating Providers. All fees are charged in U.S. dollars and billed monthly unless otherwise stated. Subscription fees are charged for access to the Platform’s matching technology, geographic coverage, and administrative services — not for patient volume, match outcomes, appointment attendance, or treatment results. The Company does not guarantee any specific number of matches in any billing period.

  • First Match (Free): One complimentary match at no cost. No credit card required. No commitment. Subject to all Platform terms.
  • Intro Plan — $1,500/month: First month only. Covers 1 ZIP code. Automatically transitions to Standard at end of term.
  • Standard — $3,000/month: Month-to-month. Covers 1 ZIP code. Subject to cancellation terms in A.4.
  • Multi-Zone — $5,000/month: Month-to-month. Covers 3 ZIP codes. Subject to cancellation terms in A.4.

A.2 Free First Match

Every Provider begins with one complimentary match at no cost. No credit card is required. The free match is non-transferable and may not be redeemed after the Provider has activated a paid subscription.

A.3 Billing & Payment

Paid subscriptions are billed monthly on the date the Provider activates their plan. By activating a paid subscription, the Provider authorizes MatchMyDentist to charge the payment method on file for the applicable monthly fee. The Provider will receive a receipt for each charge. If a payment fails, Platform access may be suspended immediately. The Provider remains responsible for the outstanding fee plus a $50 chargeback-processing fee and reasonable recovery costs.

A.3.1 No Pass-Through

Subscription fees are a private administrative business expense of the Provider. The Provider shall not disclose, itemize, charge, or pass through any subscription fee to matched Patients, shall not itemize it on any patient invoice or insurance claim, and shall not increase standard fee schedules or impose surcharges on Patients matched through the Platform.

A.4 Cancellation Policy

A Provider may cancel their paid subscription only within the first ten (10) calendar days of the current billing cycle (“Cancellation Window”). After the Cancellation Window closes, the subscription runs through the end of the current billing cycle and no mid-cycle cancellation or refund is available.

  • Zero matches within Cancellation Window: Full refund of that cycle’s subscription fee, processed within 10 business days.
  • One or more matches within Cancellation Window: Prorated refund based on unused days remaining in the billing cycle. No refund for any days during which at least one match was received.
  • After the Cancellation Window: No refunds or credits. Provider retains Platform access through end of billing cycle.
  • Re-subscription: Re-subscribing Providers are not eligible for the Intro Plan rate and will be billed at the then-current Standard or Multi-Zone rate unless otherwise agreed in writing.

A.5 Zero-Match Month Credit

If a Provider completes a full billing cycle and receives zero matches through no fault of the Provider, MatchMyDentist will issue an account credit equal to the monthly subscription fee paid for that cycle. Credits are applied automatically to future billing cycles, must be used within three (3) months of issuance, and are not redeemable for cash. No credit is issued if the Provider declined all matches presented, failed to respond within the Platform’s required response window, or was suspended or in breach during any portion of the cycle.

A.6 No-Show & Post-Match Refund Policy

Subscription fees are not refundable on the basis that a matched Patient did not show for an appointment, canceled after contact was exchanged, or chose not to proceed with treatment. The subscription covers Platform access and the technology service of delivering a compatible, verified match — not appointment attendance or clinical outcomes.

If a Provider believes a matched Patient used false information or engaged in fraudulent conduct, the Provider may report the match to support@matchmydentist.com. MatchMyDentist will investigate every report. If the investigation confirms a Platform failure, MatchMyDentist will issue an account credit equal to one month’s subscription fee. No cash refunds are issued under this section.

A.7 Plan Changes

Upgrades from Standard to Multi-Zone take effect on the next billing date. Downgrades from Multi-Zone to Standard take effect at the start of the next billing cycle with no prorated refund for the current cycle. The Intro Plan is a one-time first-month offer and automatically transitions to Standard at $3,000/month unless the Provider cancels within the Cancellation Window.

A.8 Fee Modifications

MatchMyDentist reserves the right to modify subscription fees with at least thirty (30) days’ written notice. Continued use of the Platform after the effective date of a fee change constitutes acceptance of the new rate. If a Provider does not agree, they may cancel within the Cancellation Window of the first billing cycle at the new rate and receive a full refund if zero matches were received, or a prorated refund if matches were received.
