Patient Terms of Use

Introduction & Scope

These Terms of Use (“Terms” or “Agreement”) govern your access to and use of the MatchMyDentist platform, services, and website, operated by MatchMyDentist Inc., a Delaware corporation with its principal place of business at 791 4th St N #300, St. Petersburg, FL 33702 (“MatchMyDentist,” “Company,” “we,” “us,” or “our”).

MatchMyDentist is a proprietary, AI-enabled technology platform that facilitates introductions between prospective dental patients (“Patients”) and independently licensed dentists (“Providers”) based on compatibility, preferences, and expressed goals. MatchMyDentist is not a healthcare provider, does not provide dental care or advice, and does not participate in the clinical relationship between Patients and Providers. The Services are provided at no cost to Patients.

By accessing or using the platform (the “Platform”), you agree to be bound by these Terms. If you do not agree, you may not use the Services.

These Terms incorporate by reference the following supplemental policies (collectively, the “Supplemental Policies”): the Privacy Policy; and the Consumer Health Data Privacy Policy.

The Services are intended for individual, personal use.

Definitions

Description of Services

3.1 Technology-Driven Matching

A Patient completes a confidential Prospective Patient Profile (treatment goals, dental history, location, budget, insurance status, availability, and provider preferences). Our algorithm uses this information to identify a single compatible Provider from our closed network. Patients do not browse Providers, and Providers do not pay for visibility, advertising, or placement.

3.2 Anonymized Review and Mutual Acceptance

Providers are shown anonymized Patient profiles. If a Provider accepts a proposed match, the Provider submits a personalized message for the Patient to review. The Provider’s identity is disclosed to the Patient with that message. Your name and contact details are not shared with the Provider until you accept the match. If both parties accept, the Patient’s contact information is released to the Provider, and the Match is complete.

3.3 No Clinical Role

MatchMyDentist does not provide dental services, clinical advice, or treatment recommendations, and is not a dental provider or referral agency. All clinical matters are managed independently between the Patient and Provider after a Match is accepted.

3.4 No Cost to Patients

The Platform is completely free for Patients. You will not be charged to submit a profile, receive a match, or view a Provider’s message.

3.5 No Guarantee of Match or Outcome

MatchMyDentist cannot guarantee that a match will be made, accepted, or result in an appointment or treatment. All interactions after the Match occur independently of the Platform.

Eligibility & Account Use

4.1 Eligibility Requirements

You must be at least 18 years old to use the Platform. By using the Services, you represent and warrant that you are 18 or older. The Platform is available only to individuals located in the United States, and is intended solely for private-pay or privately insured Patients. You may not use the Platform if you are enrolled in Medicare, Medicaid, Tricare, CHAMPVA, or any other government-funded health program. A pre-screening step requires you to confirm these eligibility points before you proceed; answers indicating ineligibility will end the process. We reserve the right to restrict access based on geographic location, eligibility, or regulatory limitations.

4.2 Account Registration

You agree to provide accurate, complete, and current information, and to keep it current. You are responsible for the confidentiality of your login credentials and for activity under your account, and must notify us at support@matchmydentist.com if you believe your account has been compromised.

4.3 Personal Use Only

The Platform is for individual, personal use. You may not use the Services on behalf of another person or organization without our express written permission. Commercial, group, or resale use is prohibited unless authorized.

4.4 Suspension or Termination

We may suspend or terminate access for violation of these Terms, prolonged inactivity, false or misleading information, unauthorized use, or to comply with law.

User Conduct & Responsibilities

5.1 Provide Accurate Information

You agree to provide truthful, complete, and current information. The quality of your match depends on it. MatchMyDentist does not independently verify Patient data; you are responsible for consequences of false or incomplete information.

5.2 Lawful and Appropriate Use

You agree to use the Platform only for lawful purposes. You may not impersonate any person, misrepresent your identity, age, insurance status, or dental history, submit fraudulent information, interfere with the Platform, attempt unauthorized access, use the Platform to solicit or serve government-insured patients, or collect information about others without authorization.

5.3 Respectful Communication

You agree to communicate respectfully with Providers. We do not monitor message content but may revoke access for abusive or harassing conduct.

5.4 No Commercial or Unauthorized Use

You may not resell, sublicense, or use the Platform for commercial gain, or to coordinate multiple patients as a broker or agency, without our written permission.

Provider Matching & Engagement

MatchMyDentist facilitates one-to-one introductions using a closed, compatibility-based process. The Platform does not offer a public directory or allow Patients to browse Providers.

6.1 Patient Profile Submission

Patients complete a Prospective Patient Profile (dental concerns and goals; availability, urgency, and location; budget and insurance status; provider preferences). Patients are responsible for accuracy.

6.2 Algorithmic Match Generation

Using proprietary technology, the Platform evaluates compatibility and selects a single Provider based on factors such as practice focus and scope, logistics, care philosophy, and Patient-stated preferences. Providers do not pay for visibility and are not ranked, prioritized, or promoted by payment. MatchMyDentist does not recommend, rank, endorse, or preferentially promote any Provider.

6.3 Anonymized Profile Review

Providers receive an anonymized version of the profile. A Provider who accepts must submit a personalized introductory message; an AI-generated draft may be offered, but the final message is the Provider’s sole responsibility. MatchMyDentist does not edit or endorse message content.

6.4 Match Completion

If the Patient accepts, the Provider is granted access to the Patient’s contact details, and further communication occurs outside the Platform.

6.5 No Guarantees

Participation is voluntary; either party may decline a match without penalty.

Communications & Notifications

7.1 Transactional Communications

By using the Platform, you agree to receive communications necessary to facilitate your match (match notifications, the Provider’s message and credentials, confirmation of completion, and optional follow-up). Communications are primarily transactional. We do not send promotional messages except optional service updates you have affirmatively opted in to receive, consistent with our Privacy Policy.

7.2 No Phone or Text from MatchMyDentist

MatchMyDentist does not contact Patients by phone, SMS, or messaging apps, and will never request sensitive information by phone or text. (After a Match, your chosen Provider may contact you directly.)

7.3 Responsibility for Contact Details

You are responsible for keeping your email address current.

No Cost to Patients

8.1 Free for Patients

The MatchMyDentist Platform is completely free for Patients. You will not be charged to submit a profile, receive a match, view a Provider’s message, or accept a match.

8.2 No Patient Liability

You are never responsible for any cost of using the Platform, and nothing the Company is paid by any participating Provider is ever based on your treatment or added to your cost of care.

No Clinical Role, No Referral Relationship, and No Dentist-Patient Relationship

9.1 No Dental Advice or Diagnosis

We do not provide clinical opinions, treatment plans, scheduling, or emergency support. All care decisions are made independently between you and your Provider.

9.2 No Dentist-Patient Relationship

Use of the Platform, submission of a profile, receipt of a match, or communication through the Platform does not create a dentist-patient relationship between you and MatchMyDentist, or between you and any Provider prior to the Provider’s independent establishment of such a relationship outside the Platform.

9.3 No Endorsement or Recommendation

Matches are generated using algorithmic compatibility only. A match does not imply quality assurance, suitability, or a recommendation of any kind. Compatibility scores, matching results, and Provider participation should not be interpreted as a prediction of treatment success, patient satisfaction, or clinical appropriateness.

9.4 Independent Provider Responsibility

Each Provider is solely responsible for their conduct, communications, treatment, and compliance with applicable laws and professional standards.

9.5 No Duty to Monitor; Right to Remove

We do not monitor Provider conduct or verify ongoing compliance, but may suspend or remove a Provider at any time, including upon notice of licensing issues, criminal activity, or patient complaints.

9.6 No Appointment Management or Billing

We do not schedule appointments, process payments, verify insurance, or coordinate treatment. After a Match is accepted, all further interaction occurs independently.

9.7 No Browsing or Search

Patients do not browse or select Providers prior to a match; the Platform offers no ratings, rankings, reviews, or search.

9.8 No Responsibility for Patient-Provider Agreements

MatchMyDentist is not a party to any appointment, treatment agreement, financial arrangement, informed consent, payment obligation, or other agreement between a Patient and a Provider. Any such agreements are solely between the Patient and the Provider, and MatchMyDentist bears no responsibility or liability for their terms, performance, or breach.

Privacy, Anonymity & Health Information

MatchMyDentist is committed to protecting your information throughout the match process.

10.1 Identity Stays Private Until You Accept

Before you accept a match, Providers receive only an anonymized profile (dental goals and concerns; budget, insurance status, and availability; general background and logistics). Your identity stays private from the dentist until you accept the match. Your name and contact details are held by the Company to enable the match and are not disclosed to the Provider until acceptance.

10.2 Post-Match Contact

If you accept a match, the selected Provider receives your contact information, and all further communication occurs directly between you and the Provider, outside the Platform.

10.3 Use of Your Data

Information you submit is handled according to our Privacy Policy and Consumer Health Data Privacy Policy. We do not sell your personal data, and we do not use your health-related information for advertising or third-party marketing. You may request access, correction, or deletion of your data by contacting support@matchmydentist.com.

10.4 Service Providers

We use vetted service providers (for example, secure hosting, identity verification, and email delivery) to operate the Platform. These providers are bound by confidentiality and may access only the data necessary to perform their services, as further described in our Privacy Policy.

10.5 Health-Data Consent

Some information you provide relates to your dental health and concerns. By submitting your profile, you consent to our collection and use of that information to generate your match and, upon your acceptance, to share the relevant profile information with the single Provider you choose. You may withdraw consent or request deletion as described in our Privacy Policy and Consumer Health Data Privacy Policy.

Disclaimer of Warranties

11.1 “As Is” and “As Available”

The Platform and all Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, MatchMyDentist disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11.2 No Warranty of Uninterrupted or Error-Free Operation

MatchMyDentist does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, that the results obtained from the Platform will be accurate or reliable, that any defects or errors will be corrected, or that the Platform or its servers are free of viruses or other harmful components.

11.3 No Warranty of Match Quality or Provider Availability

MatchMyDentist does not warrant that a match will be generated, that any particular Provider will be available or will accept a match, that any match will result in a successful appointment, treatment, or outcome, that any Provider’s qualifications, credentials, or standing are current or accurate, or that the matching algorithm will identify the most compatible Provider for any given Patient.

11.4 Assumption of Risk

You acknowledge that your use of the Platform is at your sole risk. You are solely responsible for evaluating the suitability of any Provider you are matched with and for all decisions regarding your dental care.

11.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the exclusions above apply to the fullest extent permitted by applicable law.

Limitation of Liability

12.1 No Indirect Damages

To the maximum extent permitted by law, MatchMyDentist, its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, regardless of the cause of action or the theory of liability, even if MatchMyDentist has been advised of the possibility of such damages.

12.2 Liability Cap

To the maximum extent permitted by law, the total aggregate liability of MatchMyDentist for any and all claims arising out of or relating to these Terms or your use of the Platform will not exceed two hundred United States dollars ($200). This cap does not apply to liability arising from our gross negligence or willful misconduct, or to any liability that cannot be limited under applicable law (including certain statutory privacy claims).

12.3 No Responsibility for Treatment

MatchMyDentist is not responsible for any diagnosis, treatment, procedure, or clinical decision made by any Provider; any missed, canceled, or unsatisfactory appointment; any communications, disputes, or disagreements between you and any Provider; or any harm, injury, or adverse outcome resulting from dental care.

12.4 Basis of the Bargain

You acknowledge that MatchMyDentist has set its fees (if any) and entered into these Terms in reliance upon the limitations of liability and disclaimers of warranties set forth herein, and that the same form an essential basis of the bargain between the parties.

12.5 Jurisdictional Limitations

If your jurisdiction does not allow certain limitations of liability, we disclaim liability to the maximum extent allowed by applicable law.

Disclaimers & No Guarantees

13.1 No Medical or Dental Advice

All content and services are for informational and administrative purposes only. We do not offer dental diagnosis or clinical assessments, emergency services, or treatment recommendations. If you are experiencing a dental emergency, call 9-1-1 or seek immediate care.

13.2 No Guarantee of Match, Care, or Outcome

We do not guarantee that a match will be generated or accepted, that communication will succeed, or that any appointment, treatment, or outcome will occur or meet expectations.

13.3 Provider Credentialing — Scope and Limits

Before a Provider participates in the network, MatchMyDentist collects the Provider’s representations and supporting documentation regarding licensure, malpractice insurance, and professional and legal history, and confirms that the Provider’s dental license appears active through the applicable state dental board’s public license-verification system. MatchMyDentist does not independently audit or guarantee the accuracy of self-reported information beyond this license confirmation, does not continuously monitor a Provider’s license, insurance, or disciplinary status, and does not perform malpractice-history or criminal-background investigations. Inclusion in the network does not imply endorsement, certification, or any guarantee of a Provider’s qualifications, conduct, or current standing. You remain responsible for evaluating a Provider’s suitability and may verify a Provider’s license and standing directly with your state dental board before accepting care.

Dispute Resolution & Arbitration

14.1 Mandatory Individual Arbitration

Except as provided below, any dispute arising out of or relating to these Terms or the Services will be resolved exclusively through binding individual arbitration, not in court, administered by JAMS under its rules, in Florida. Judgment may be entered in any court with proper jurisdiction.

14.2 Class Action Waiver

You waive any right to participate in a class action, class arbitration, or representative proceeding. All claims must be brought individually.

14.3 Preservation of Non-Waivable Rights

Nothing in this Section limits any right that cannot be waived under applicable law, including the right to seek public injunctive relief where such relief cannot be waived (e.g., under California law). To the extent a claim for public injunctive relief is found non-arbitrable, it may proceed in court while all other claims remain in arbitration.

14.4 Small Claims Exception

Either party may bring a qualifying individual claim in small claims court.

14.5 Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to the address in Section 18, including your name and account information and a clear statement that you opt out, postmarked within 30 days of first agreeing to these Terms. Opting out does not affect any other part of these Terms.

14.6 Limitation Period

Any claim must be filed within one (1) year from the date the issue arises, except where a longer period is required by applicable law.

Termination

15.1 By You

You may stop using the Services at any time. To request deletion of your account and data, contact support@matchmydentist.com. Account deletion may be permanent.

15.2 By MatchMyDentist

We may suspend, deactivate, or terminate access at any time, including for violation of these Terms, prolonged inactivity, false information, disruptive behavior, legal or regulatory requirements, or discontinuation of the Services. We are not liable for loss of access or data after termination, subject to our data-retention policies.

Governing Law & Jurisdiction

These Terms, and any dispute arising out of or related to them, are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Subject to Section 14, the state and federal courts located in Palm Beach County, Florida shall have exclusive jurisdiction.

Force Majeure

MatchMyDentist will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control (acts of God, natural disasters, war, civil unrest, labor disputes, supply-chain failures, government action, cyberattacks, power or internet outages). Such events suspend our obligations for the duration of the disruption.

MatchMyDentist may send notices by email, in-app message, website posting, or physical mail. Legal notices to MatchMyDentist must be sent to:

Entire Agreement & Modifications

These Terms, together with the Supplemental Policies, constitute the entire agreement between you and MatchMyDentist concerning the Platform. We may modify these Terms; material changes will be communicated by email, dashboard notice, or posted updates, and continued use after updates constitutes acceptance.

Severability & Waiver

If any provision is held invalid or unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and MatchMyDentist. You may not represent yourself as our agent or bind us without express written authorization.
